Article 1 (Scope of Application)

  1. These Terms of Use (“Terms”) set forth the conditions for using the website and related services (“Services”) provided by ZEN AUDIO (“we,” “our,” or “us”).
  2. By using the Services, users are deemed to have agreed to these Terms.

Article 2 (Description of Services)

  1. "The Services include the following:"
    • Browsing the website
    • Creating, editing, and managing accounts
    • Accessing product information and purchase pages
    • Redeeming codes
    • Any other content and functions provided by us
  2. Products provided through the Services primarily consist of audio plugin software such as VST/AU.

Article 3 (Purchase and License Registration)

  1. "Our products can be obtained in the following ways:"

    (1) Purchase via the Official Store: When purchasing through our official store on the website, payment is processed through the reseller Paddle. Upon completion of the purchase, the product license is automatically registered to the user’s account.

    (2) Registration with Redeem Codes: When obtaining a redeem code through means other than the official store (e.g., physical events), users may enter the code on the “My Account” page of our website to register the product license to their account.

  2. For purchases made via the official store, the terms and conditions established by Paddle shall govern the purchase agreement.

Article 4 (License)

  1. Each product is subject to its own End User License Agreement (EULA).
  2. Users may not redistribute, reverse-engineer, or modify our products.

Article 5 (Refund Policy)

  1. Customers have the right to cancel their purchase within 14 days of the transaction date and receive a full refund.
  2. However, this right of cancellation does not apply to digital content once the download or access to the product has begun, provided that the customer has given prior consent to the immediate supply of the digital content and acknowledged that they thereby lose their right to cancel.
  3. By completing a purchase through Paddle's checkout, you expressly consent to the immediate delivery of the digital product and acknowledge that your statutory right to cancel may be waived once access is provided.
  4. All payments, refunds, and cancellations are handled by Paddle, our Merchant of Record, and are subject to Paddle’s Buyer Terms.

Article 6 (Prohibited Acts)

"Users must not engage in the following acts when using the Services:"

  1. Acts that violate laws or public order and morals
  2. Acts that infringe upon the rights of us or third parties
  3. Unauthorized access, data tampering, or transmission of harmful programs such as viruses
  4. Acts that interfere with the operation of the Services

Article 7 (Disclaimer)

  1. We shall not be liable for any direct, indirect, special, incidental, consequential, or exemplary damages, including but not limited to loss of profits, arising from the use of or inability to use the Services or our products, even if we have been advised of the possibility of such damages.
  2. We make no warranties that the Services or our products will always be accurate, complete, appropriate, uninterrupted, error-free, fit for a particular purpose, non-infringing, or otherwise guaranteed.
  3. We are not responsible for compatibility or proper functioning of our products with the user’s environment, including but not limited to operating systems, DAWs, plugin hosts, or hardware.
  4. We disclaim any liability for issues or damages arising from Paddle or other third-party services.
  5. We shall not be liable for any damages caused by suspension, delay, or termination of the Services or our products.
  6. These disclaimers and limitations of liability shall apply to the maximum extent permitted by applicable law.

Article 8 (Amendments to Terms)

  1. We reserve the right to amend these Terms at any time without prior notice.
  2. The amended Terms shall become effective at the time they are published on this website.
  3. Continued use of the Services after the amended Terms have been published shall constitute acceptance of the amended Terms.

Article 9 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by the laws of Japan.
  2. Any disputes arising out of or in connection with the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 10 (Language)

The Japanese version of these Terms shall be the original, and the English version is provided for reference only. In the event of any discrepancy between the two versions, the Japanese version shall prevail.
